Terms of Service

These Terms of Service govern your access to and use of openflow.network, including the Predict pages, the OpenSwap widget, the Docs pages, and any related interfaces and consumer-facing APIs. By using the site you agree to these Terms.

1. Agreement

By accessing or using the site you agree to these Terms. If you do not agree, do not use the site. Use of the programmatic API is additionally governed by the API Terms of Use. Business relationships with member exchanges and prediction-market venues are governed by separate written agreements.

2. What OpenFlow is (and is not)

OpenFlow is a non-custodial cross-exchange liquidity protocol. We never take custody of your funds, tokens, or private keys — market swaps are signed and submitted by your own wallet. We do not provide investment, legal, or tax advice. Prices, odds, quotes, and statistics are informational. Where OpenFlow routes liquidity behind member exchanges, end users trade on their own exchange under that exchange's terms; OpenFlow only settles obligations between venues. Kalshi markets are display-only: OpenFlow never executes on Kalshi.

3. Feature availability and shadow mode

Some interfaces are visible before the underlying execution is enabled. While a feature is in shadow mode, order submissions are not executed; the backend responds with a shadow status; no transaction is signed, no funds move, and no position is created. As of the date of these Terms, prediction-market order placement, swap execution, limit orders, and recurring (DCA) orders are all in shadow mode.

4. Eligibility

You may use the site only if you are at least 18 years old, are not located in a jurisdiction where use of the relevant feature is restricted, are not subject to applicable sanctions, and your use complies with all laws applicable to you. Availability of the site in your language is not a representation that any feature is lawful for you.

5. Wallets and your responsibilities

You interact with the site using a self-custodial wallet you control. You are solely responsible for your wallet, seed phrase, and private keys — we cannot recover funds, reverse transactions, or restore access. Blockchain transactions are irreversible. You represent that any wallet you connect is yours or that you are authorized to use it.

6. Swap services

Quotes are indicative, valid for approximately 30 seconds, and derived from public on-chain pool data. Execution price may differ from the quote. A protocol fee of 2.5 basis points (0.025%) of swap output is charged inside the swap transaction. Limit and recurring orders are stored on OpenFlow's servers and executed by an automated keeper — they are best-efforts standing instructions, not guaranteed on-chain orders. Token lists are auto-generated with no curation or endorsement.

7. Prediction-market pages

Market prices and data are sourced from third-party venues for information only. Event contracts are restricted or prohibited in many jurisdictions. Display of a market is not an offer to trade it. Regulated venues such as Kalshi are never tradeable through the site.

8. Prohibited conduct

You must not use the site in violation of any law or sanction (including by VPN to disguise your location), interfere with or reverse-engineer the site, use it for market manipulation or money laundering, misrepresent your identity, or scrape and redistribute data beyond what the API Terms permit.

9. Intellectual property

The site and its software are owned by OpenFlow or its licensors. Certain SDKs are published under the MIT license (@openflow/exchange-sdk, @openflow/dex-sdk, @openflow/prediction-adapter) and are governed by their own license terms. Third-party market data remains the property of its providers.

10. Disclaimers

The site and all data, quotes, and services are provided "as is" and "as available" without warranty of any kind. We do not warrant that any order, trigger, or settlement will execute, or that any quote is achievable. Digital assets involve substantial risk of loss.

11. Limitation of liability

To the maximum extent permitted by law, OpenFlow and its personnel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or loss of digital assets. Our aggregate liability will not exceed the greater of fees you paid us in the prior 12 months and USD 100. Nothing excludes liability that cannot lawfully be excluded.

12. Indemnity

To the extent permitted by applicable law, you will indemnify OpenFlow against claims, losses, and expenses arising from your breach of these Terms, your unlawful use of the site, or your violation of third-party rights.

13. Changes, suspension, termination

We may modify the site or these Terms at any time. Material changes will be posted with an updated effective date. We may suspend or discontinue any feature, including cancelling stored unexecuted orders on reasonable notice where practicable.

14. Governing law

These Terms are governed by the laws of the operating entity's home jurisdiction (to be determined at entity formation), without regard to conflict-of-law rules, and subject to any mandatory consumer-protection law of your country of residence.
